Terms of Service

Rules for using Stophy's website, account, and API. This page also includes our Privacy Policy and Cookie Policy for easy reference.

Effective date: March 28, 2026

1. Agreement to these terms

By accessing or using Stophy ("Stophy," "we," "us," or "our"), including our website at stophy.dev and related domains, dashboard, APIs, documentation, and any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use the Services.

2. The Services

Stophy provides APIs and tools that help you obtain structured data related to publicly available online video content (for example, transcripts and metadata) for use in your applications, agents, and workflows. Features, limits, and availability may change as we improve the product.

We may suspend or discontinue parts of the Services with reasonable notice where practical. Nothing in these Terms obligates us to maintain any particular feature indefinitely.

3. Accounts and API keys

You may need an account to access certain features. You are responsible for safeguarding your credentials and API keys, and for all activity under your account unless caused by our gross negligence or willful misconduct.

You must provide accurate registration information and keep it up to date. Notify us promptly at your support channel if you suspect unauthorized access.

4. Acceptable use

You agree not to, and not to facilitate others to:

  • Use the Services in violation of applicable law or third-party rights.
  • Attempt to probe, scan, or test the vulnerability of our systems without authorization, or bypass security or rate limits.
  • Resell or redistribute the Services in a way that misleads users about the source of the data or that violates platform terms that apply to underlying content.
  • Use the output of the Services to harass, defraud, or deceive others, or to train models solely for generating misleading impersonations without disclosure where required by law.

Third-party platforms (including video hosts) impose their own terms and technical restrictions. You remain responsible for compliance with those terms to the extent they apply to your use case.

5. Fees, credits, and taxes

Paid features may be offered on a prepaid or usage-based basis (for example, API credits). Prices and pack details are as shown at checkout or in your dashboard. Taxes may apply based on your location.

Except where required by law, fees are generally non-refundable. If we materially reduce functionality you have already paid for without a suitable substitute, we will work with you on a reasonable good-faith resolution.

6. Intellectual property

The Services, including software, branding, and documentation, are owned by Stophy or our licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Services during your subscription or account term.

As between you and Stophy, you retain rights in your applications and your original content. You grant us a limited license to host, process, and display information you provide only as needed to operate and improve the Services.

7. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, STOPHY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, or that outputs will meet your specific requirements.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STOPHY AND OUR OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID STOPHY FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (USD $100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED UNDER APPLICABLE LAW.

9. Indemnity

You will defend and indemnify Stophy against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your content or data, or your violation of these Terms or applicable law, except to the extent caused by our willful misconduct.

10. Termination

You may stop using the Services at any time. We may suspend or terminate your access if you materially breach these Terms, if we are required to do so by law, or if continued provision poses security or abuse risk. Where reasonable, we will provide notice before termination for non-payment or uncured breaches.

Provisions that by their nature should survive termination (including fees owed, intellectual property, disclaimers, limitations of liability, and indemnity) will survive.

11. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will post the revised Terms on this page and update the effective date. Your continued use of the Services after the effective date of changes constitutes acceptance of the revised Terms, except where your prior consent is required by law.

12. General

These Terms constitute the entire agreement between you and Stophy regarding the Services and supersede prior agreements on that subject. If any provision is unenforceable, the remaining provisions remain in effect.

These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules, unless mandatory consumer protections in your jurisdiction apply. Courts in Delaware have exclusive jurisdiction for disputes arising from these Terms, subject to mandatory arbitration or venue rules that apply to you.
